Kirana Sastrawijaya is a Senior Partner of UMBRA – Strategic Legal Solutions and is one of the best power lawyers in Indonesia with nearly two decades of practical experience in the fields of power, energy, construction and infrastructure. She has represented major international and local clients (including PT Perusahaan Listrik Negara (Persero) and its major subsidiaries (PT Pembangkitan Jawa Bali and PT Indonesia Power)) in various high-profile power and infrastructure deals (having a combined capacity of more than 5,000 MW) and has extensive experience in drafting and negotiating all type of projects documents including power purchase agreements (covering all types of PPAs for different power plants), EPC contracts, O&M contracts and fuel supply contracts.

 

Kirana is also well versed in renewables, oil & gas, project financing, public-private partnership scheme, mergers & acquisition in the energy and natural resources sectors, state-owned enterprises, regional-owned enterprises and has built close relationship with government institutions and international and local NGOs for the preparation of relevant regulations related to power, energy and renewables in Indonesia.

 

As a testament to her expertise in the field of power and renewables, she also serves as the youngest member of the Board of Experts of Masyarakat Ketenagalistrikan Indonesia (Indonesian Electricity Society) and is an active member of Masyarakat Energi Terbarukan (Indonesian Renewable Energy Society).

  • Representing a major power and oil-and-gas group company in its distressed acquisition and restructuring of MaxPower Group, an international power company with total installed gas power plant assets amounting to 424MW worth of capacity (installed, rental and IPP) that span across the South East Asia region (2019).
  • Assisting PT Sarana Multi Infrastruktur (Persero) in its first project financing for the development of 10MW Dieng geothermal power plant which will contribute and be part of the 400MW Dieng geothermal project. This historical deal is in support of Indonesia’s government strategic plan to increase renewable energy of 23% in 2025 energy mix use and Indonesia’s Sustainable Development Goals (2019).
  • Representing PT Citra Multi Energi as borrower in a USD20 million bilateral facility for the financing of 10MW mini hydro power plant project in North Sumatera. This project is one of renewable projects in Indonesia with support from the Joint Crediting Mechanism provided by the government of Japan which encourages cooperation between Japanese and Indonesian institutions to promote implementation of low carbon development activities in Indonesia (2019).

  • Geothermal Power Plant 120 MW – advising a state-owned electricity company on the closing down of unit 1 and development of new units of the power plant based on the energy sales contract and applicable laws and regulations (2022).
  • Solar Power Plant in Bali (2×25 MW) – representing a state-owned electricity company in the drafting and negotiation of power purchase agreement (2022).
  • Advising an international development agency for policy and regulation review on Indonesia’s renewable energy (RE) power procurement and providing recommendations for the Indonesian Government and electricity state-owned enterprise to create an improved competitive procurement process (ongoing).
  • Representing PT Geo Dipa Energi (Persero) in restructuring of Geothermal Energy Upstream Development Project as financed with grant from Clean Technology Fund and Global Environmental Facility (2020-2021).
  • Representing an international power and infrastructure company in assessing the development of wind power plant project in Indonesia from greenfield to commercial operation date (2021).
  • Representing an international development bank in the implementation of a sustainable infrastructure assistance program that aims to support sustainable and universal electricity access. We provide legal inputs and recommendations on international best practice risk allocation and bankability guidelines which will need to be implemented consistently in PLN’s different types of renewable PPAs.   • 424MW worth of capacity (installed, rental and IPP) – representing PT Infra Daya Energia in its distressed acquisition and restructuring of MaxPower Group, an international power company with total installed gas power plant assets amounting to 424MW worth of capacity (installed, rental and IPP) that span across the
    South East Asia region (2019).

 

Oil and Gas

  • US$1.85bn TBS Project Financing for the Development of Jambaran – Tiung Biru Unitized Field Gas Project – This is a Project Financing transaction which was initiated by PT Pertamina EP Cepu (PEPC) as the Sponsor to obtain approximately US$1.85bn facility to finance its US$4.6bn Jambaran-Tiung-Biru (JTB) gas field unitisation project. The JTB project is one of the National Strategic Project (PSN) that has been solicited by the Committee for Acceleration of Priority Infrastructure Delivery (KPPIP). The JTB project will have gas production capacity in the amount of 192 MMSCFD that will be transported through Gresik-Semarang transmission pipelines (2019).

  • Brownfield Airport Project in Lombok – representing an Indonesian state-owned airport services company in preparing a pre-feasibility study in relation to the development of a brownfield airport project in Lombok.
  • Development of 35 MW ITF Sunter Waste-to-Energy Plant – representing PT PLN (Persero) in the drafting and negotiation of PPA for the development of 35 MW WTE power plant in Sunter (2019).
  • Legal Study on development of hospital project through a public private partnership scheme
  • Representing PJB in the negotiation and drafting of its master EPC contract and procurement contract for the establishment of 500 MW Mobile Power Plant Projects (ongoing).

ABOUT

Kirana Sastrawijaya is a Senior Partner of UMBRA – Strategic Legal Solutions and is one of the best power lawyers in Indonesia with nearly two decades of practical experience in the fields of power, energy, construction and infrastructure. She has represented major international and local clients (including PT Perusahaan Listrik Negara (Persero) and its major subsidiaries (PT Pembangkitan Jawa Bali and PT Indonesia Power)) in various high-profile power and infrastructure deals (having a combined capacity of more than 5,000 MW) and has extensive experience in drafting and negotiating all type of projects documents including power purchase agreements (covering all types of PPAs for different power plants), EPC contracts, O&M contracts and fuel supply contracts.

 

Kirana is also well versed in renewables, oil & gas, project financing, public-private partnership scheme, mergers & acquisition in the energy and natural resources sectors, state-owned enterprises, regional-owned enterprises and has built close relationship with government institutions and international and local NGOs for the preparation of relevant regulations related to power, energy and renewables in Indonesia.

 

As a testament to her expertise in the field of power and renewables, she also serves as the youngest member of the Board of Experts of Masyarakat Ketenagalistrikan Indonesia (Indonesian Electricity Society) and is an active member of Masyarakat Energi Terbarukan (Indonesian Renewable Energy Society).

  • Assisting PT Sarana Multi Infrastruktur (Persero) in its first project financing for the development of 10MW Dieng geothermal power plant which will contribute and be part of the 400MW Dieng geothermal project. This historical deal is in support of Indonesia’s government strategic plan to increase renewable energy of 23% in 2025 energy mix use and Indonesia’s Sustainable Development Goals (2019).
  • Representing PT Citra Multi Energi as borrower in a USD20 million bilateral facility for the financing of 10MW mini hydro power plant project in North Sumatera. This project is one of renewable projects in Indonesia with support from the Joint Crediting Mechanism provided by the government of Japan which encourages cooperation between Japanese and Indonesian institutions to promote implementation of low carbon development activities in Indonesia (2019).

  • US$1.85bn TBS Project Financing for the Development of Jambaran – Tiung Biru Unitized Field Gas Project – This is a Project Financing transaction which was initiated by PT Pertamina EP Cepu (PEPC) as the Sponsor to obtain approximately US$1.85bn facility to finance its US$4.6bn Jambaran-Tiung-Biru (JTB) gas field unitisation project. The JTB project is one of the National Strategic Project (PSN) that has been solicited by the Committee for Acceleration of Priority Infrastructure Delivery (KPPIP). The JTB project will have gas production capacity in the amount of 192 MMSCFD that will be transported through Gresik-Semarang transmission pipelines (2019).
